- Career guidance
- Job-placement assistance
- Funding-account-related educational programs
- Other educational facilities and servicesGrowup Capital may introduce additional courses, educational programs, facilities, or services in the future.---2. ACCEPTANCE OF TERMSBy accessing, registering for, purchasing, or using any Growup Capital service, you confirm that:
1. You have read and understood these Terms;
2. You agree to comply with these Terms;
3. The information provided by you is accurate and truthful;
4. You will use the services only for lawful purposes;
5. You will not misuse, copy, distribute, resell, or commercially exploit Growup Capital's services or content without authorization.These Terms should be read together with our Privacy Policy and any other applicable policies, notices, or agreements relating to specific services.---3. ELIGIBILITYYou must provide accurate information when creating an account or purchasing our services.By using our services, you represent that you are legally capable of entering into an agreement under applicable law.Where applicable law requires parental or guardian involvement for a minor, the relevant requirements must be complied with before accessing our services.Growup Capital reserves the right to restrict or terminate access where information provided by a user is found to be false, misleading, fraudulent, or otherwise unlawful.---4. COURSES AND EDUCATIONAL SERVICESGrowup Capital provides educational services for learning and training purposes.Courses may be provided through:- Recorded video classes;
- Live classes;
- Educational documents/material;
- Tests and assessments;
- Mentorship;
- Practical educational exercises;
- Other digital or offline educational methods.The exact contents, modules, features, facilities, duration, and benefits of a course may vary depending on the program purchased.Growup Capital reserves the right to introduce new courses and educational programs and to modify, improve, update, or discontinue particular courses or features where reasonably necessary.---5. COURSE ACCESSAfter successful purchase and confirmation of payment, course access is generally activated within approximately 30 minutes.However, activation may take longer in certain circumstances due to:- Payment verification;
- Technical issues;
- Platform maintenance;
- Incorrect account information;
- Payment gateway delays;
- Other circumstances beyond our reasonable control.Unless otherwise specifically stated for a particular program, course access is provided for one (1) year from the date of activation/purchase.---6. DEVICE LIMITATIONUnless otherwise specified for a particular program:- Course access is permitted on a maximum of two (2) devices per student account.
- A student may not share their account credentials with another person.
- Account access is personal to the enrolled student and may not be transferred, sold, rented, or assigned to another individual.Growup Capital may restrict or suspend access if unauthorized account sharing or suspicious account activity is detected.---7. COURSE DOWNLOAD AND OFFLINE ACCESSWhere the application provides a download/offline viewing feature, downloaded course content may be available only within the authorized Growup Capital application.Such content is not intended to be permanently transferred to the user's device gallery or otherwise extracted from the application.Downloading content does not provide the user with ownership or redistribution rights over the underlying educational material.---8. SCREEN RECORDING AND CONTENT CAPTUREUsers are strictly prohibited from:- Screen-recording Growup Capital classes;
- Recording live classes without authorization;
- Capturing course videos for redistribution;
- Using third-party tools to copy or extract protected course content;
- Circumventing technical restrictions designed to protect course content.Any attempt to bypass content-protection mechanisms may result in suspension or termination of access and may result in legal action where appropriate.---9. PROHIBITION ON SHARING, COPYING AND RESELLINGAll course content and educational materials provided by Growup Capital are intended solely for the personal educational use of the enrolled student.Users may not, without prior written authorization:- Copy course videos;
- Share course access;
- Share login credentials;
- Upload course content to YouTube, Telegram, WhatsApp, social media, websites, or other platforms;
- Reproduce or distribute PDFs, notes, recordings, strategies, presentations, or other materials;
- Resell or sublicense course content;
- Provide course content to another person;
- Use Growup Capital content for commercial training;
- Modify or reproduce Growup Capital's proprietary educational material.Unauthorized distribution may result in immediate suspension or termination of access and may lead to legal proceedings.---10. COURSE FEESCourse fees and applicable program prices may be displayed on Growup Capital websites or landing pages.However, course purchases may be completed through the authorized Growup Capital application/payment process.The price applicable to a purchase will be the price displayed at the time of purchase, subject to applicable taxes, offers, discounts, or terms communicated for that particular program.Unless otherwise stated, applicable GST is included in the displayed course price.---11. PAYMENT METHODS AND EMIGrowup Capital may provide multiple payment options, including payment through authorized payment service providers.Currently, EMI facilities may be available through eligible credit-card payment options, subject to the applicable payment provider, bank, card issuer, eligibility requirements, and terms.Growup Capital may introduce additional payment and EMI options, including eligible debit-card or cardless EMI options, in the future.Availability of any EMI facility is not guaranteed and may depend on the payment provider, bank, card issuer, user's eligibility, transaction amount, and other applicable conditions.---12. PAYMENT PROCESSINGPayments may be processed through third-party payment service providers, including Cashfree and/or payment infrastructure associated with our technology/platform providers.Growup Capital does not control the internal systems, policies, availability, or processing decisions of third-party payment providers.Users may also be subject to the terms and policies of the applicable payment service provider.---13. PRE-REGISTRATION / REGISTRATION AMOUNTSWhere Growup Capital offers a pre-registration or registration facility involving an advance amount, the specific terms communicated at the time of payment will apply.Unless otherwise stated:- A pre-registration amount may be refundable only if the refund request is made before the relevant course is purchased/enrolled.
- Once the student proceeds with the course purchase/enrollment, the pre-registration amount may become part of the course purchase and the applicable course refund policy will apply.Any special offer or registration campaign may have separate terms communicated at the time of registration.---14. REFUND AND CANCELLATION POLICYGrowup Capital follows the following general refund framework:14.1 Pre-Registration AmountIf a student has paid a pre-registration amount, such as ₹5,000, the student may request a refund before completing the purchase/enrollment of the relevant course.Once the course has been purchased/enrolled, the course refund terms below shall apply.14.2 Course PurchaseA student may request a refund within seven (7) days from the date of course purchase, subject to applicable conditions.After completion of the seven-day period, the course purchase will generally become non-refundable.14.3 Refund ProcessingApproved refunds will be processed through the applicable payment method or payment channel, subject to payment-provider procedures.Processing time may depend on the payment gateway, bank, card issuer, or other payment service provider.14.4 Misuse and ViolationWhere a user has violated these Terms, engaged in unauthorized content distribution, account sharing, fraud, chargeback abuse, or other prohibited activity, Growup Capital reserves the right to restrict or terminate access and may determine refund eligibility in accordance with applicable law and the circumstances of the case.---15. TRADING AND FINANCIAL-MARKET RISK DISCLAIMERTrading and participation in financial markets involve substantial risk.Growup Capital provides educational and training services and does not guarantee that any student will achieve a specific profit, income, return, trading performance, or financial outcome.No statement made through our courses, advertisements, educational material, mentorship, demonstrations, examples, or communications should be interpreted as a guarantee of:- Profit;
- Income;
- Fixed returns;
- Trading success;
- Risk-free trading;
- Recovery of losses;
- A particular financial outcome.Past performance, historical examples, hypothetical examples, or educational demonstrations do not guarantee future results.Students are responsible for independently evaluating the risks associated with trading and for their own trading decisions.---16. NO INVESTMENT ADVISORY OR PORTFOLIO MANAGEMENTGrowup Capital's educational services are intended for training and educational purposes.Growup Capital does not provide investment advisory, portfolio management, or guaranteed-return investment services through its educational programs.Growup Capital does not accept money from students for the purpose of investing or trading on their behalf as part of its educational course services.Nothing contained in our educational material should be treated as personalized investment advice.---17. FUNDING / PROP TRADING EDUCATIONCertain Growup Capital programs may include or be associated with funding-account-related educational services.Growup Capital may facilitate access to funding accounts provided by third-party proprietary trading/funding firms with whom Growup Capital may have a business relationship.Growup Capital itself is not a proprietary trading/funding firm merely by providing or facilitating such funding-account-related services.The role of Growup Capital may include:- Providing the relevant educational course;
- Providing guidance regarding funding-account rules;
- Educating students about trading and risk management;
- Providing a funding account through applicable third-party arrangements, where included in the purchased program;
- Providing educational guidance regarding the process and requirements associated with the account.Important:Growup Capital does not guarantee that a student will pass a funding-account evaluation or challenge.Passing any funding evaluation depends on factors including, but not limited to:- Student knowledge;
- Trading skills;
- Risk management;
- Discipline;
- Compliance with applicable rules;
- Trading decisions;
- Market conditions;
- The rules and requirements of the relevant funding/proprietary trading firm.The final decision regarding evaluation results, account approval, funded/master account allocation, account continuation, or any related matter rests with the applicable third-party funding/proprietary trading firm.Third-party funding firms may have their own independent terms, rules, risk parameters, eligibility requirements, and policies, which students are responsible for reviewing and following.---18. TRADING FLOOR / DESK FACILITIESGrowup Capital may operate or provide access to a trading floor/desk environment.The trading floor may primarily be used by Growup Capital's own traders and team members for their trading-related activities, research, strategy development, and other business purposes.Participation or access to the trading floor by students is not automatically guaranteed by purchasing a course.Where Growup Capital offers students an opportunity to join or work with the trading floor/team, selection may be based on factors including:- Trading performance;
- Knowledge;
- Discipline;
- Practical tests;
- Evaluation results;
- Interview performance;
- Internal requirements;
- Availability of opportunities.Growup Capital may determine eligibility and selection at its discretion based on applicable criteria.Participation in a course does not create an employment relationship between the student and Growup Capital.---19. MENTORSHIPDepending on the purchased program, Growup Capital may provide:- Group mentorship;
- One-to-one mentorship sessions;
- Trading-related guidance;
- Educational support.Mentorship is subject to the duration and features of the relevant course/program.Unless otherwise specifically stated, mentorship access will generally end when the corresponding course access period expires.Availability, schedule, mentor assignment, and session format may vary depending on the program and operational requirements.---20. LIVE AND RECORDED CLASSESGrowup Capital may provide live educational classes.Class schedules may be changed, postponed, rescheduled, or cancelled where reasonably necessary due to:- Instructor availability;
- Technical issues;
- Holidays;
- Operational requirements;
- Emergencies;
- Other reasonable circumstances.Where applicable, recordings of live classes may subsequently be made available within the course section of the application.Availability of a recording may depend on technical and operational circumstances.---21. CERTIFICATESWhere a course provides a certificate, the certificate may be issued after completion of applicable course requirements.Such requirements may include:- Completion of relevant course content;
- Attendance;
- Tests or assessments;
- Other program-specific requirements.A Growup Capital course certificate represents completion or participation in an educational program and should not automatically be interpreted as a professional license, government accreditation, financial qualification, or employment guarantee unless expressly stated otherwise.---22. JOB PLACEMENT AND CAREER SUPPORTGrowup Capital may provide career guidance, job-placement assistance, or opportunities to work with Growup Capital or its associated operations.Such opportunities are not an unconditional guarantee of employment.Where Growup Capital conducts tests, practical evaluations, interviews, or performance assessments, employment or work opportunities may be offered to candidates who meet the applicable selection criteria.Final selection may depend on:- Test performance;
- Trading knowledge and performance;
- Discipline;
- Interview performance;
- Skills and experience;
- Available positions;
- Internal requirements.Participation in a course does not by itself guarantee a job, salary, employment, internship, trading-floor position, or other professional opportunity.---23. INTELLECTUAL PROPERTYAll intellectual property associated with Growup Capital, including but not limited to:- Brand name;
- Logo;
- Trademarks;
- Course videos;
- Educational material;
- PDFs;
- Notes;
- Presentations;
- Graphics;
- Images;
- Audio;
- Recorded classes;
- Website content;
- Application content;
- Training methodologies;
- Original educational material;is owned by, licensed to, or otherwise lawfully used by Growup Capital and is protected under applicable intellectual-property laws.Except where expressly permitted, users do not receive ownership rights over such content merely by purchasing or accessing a course.---24. USER CONTENT AND FEEDBACKIf a user voluntarily provides feedback, suggestions, reviews, testimonials, questions, or other content to Growup Capital, Growup Capital may use such information for legitimate business and service-improvement purposes, subject to applicable law and our Privacy Policy.Users should not submit confidential information belonging to another person or entity without appropriate authorization.---25. COMMUNITY AND COMMUNICATION RULESWhere Growup Capital provides access to WhatsApp, Telegram, online communities, discussion groups, or similar communication channels, users must behave respectfully and lawfully.Users may not:- Harass or threaten other members;
- Use abusive or discriminatory language;
- Spam members;
- Promote unauthorized services;
- Sell or advertise unrelated products without permission;
- Share pirated content;
- Share unauthorized Growup Capital course content;
- Impersonate Growup Capital employees or representatives;
- Engage in fraudulent activity;
- Share other users' personal information without authorization;
- Attempt to manipulate, deceive, or defraud other members;
- Engage in unlawful activities.Growup Capital may remove content, restrict access, suspend users, or take other appropriate action for violations.---26. ACCOUNT SUSPENSION AND TERMINATIONGrowup Capital reserves the right to suspend, restrict, or terminate a user's access to the application, course, community, mentorship, trading-floor opportunity, or other services where the user:- Shares account credentials;
- Uses more devices than permitted;
- Records or distributes course content without authorization;
- Resells course content;
- Commits fraud;
- Misuses payment systems;
- Engages in chargeback abuse;
- Violates these Terms;
- Harasses staff, mentors, trainers, or other students;
- Engages in unlawful activity;
- Attempts to bypass platform security;
- Provides materially false information;
- Misuses Growup Capital's intellectual property;
- Creates a security or reputational risk for Growup Capital.Where appropriate, Growup Capital may also take legal action to protect its rights, intellectual property, business interests, or users.---27. THIRD-PARTY SERVICESGrowup Capital may use or integrate third-party services, including:- Payment providers;
- Technology/application providers;
- Communication platforms;
- Analytics providers;
- Advertising platforms;
- Funding/proprietary trading firms;
- Other third-party service providers.Examples may include Cashfree, EduGorilla, Meta technologies, Google services, WhatsApp, Telegram, and other service providers used from time to time.Third-party services may have their own terms, policies, eligibility requirements, fees, limitations, and privacy practices.Growup Capital is not responsible for the independent policies, decisions, availability, or actions of third-party services beyond its reasonable control.---28. ADVERTISING AND MARKETINGGrowup Capital may advertise its educational programs through platforms including Meta, Google, and other advertising channels.Marketing materials are intended to describe educational services and opportunities accurately.Growup Capital does not intend to represent that participation in its courses guarantees any particular profit, income, employment outcome, or trading result.Individual results may vary depending on numerous factors, including knowledge, skills, discipline, market conditions, and individual decisions.---29. WEBSITE AND APPLICATION AVAILABILITYWe make reasonable efforts to maintain the availability of our websites and application.However, temporary interruptions may occur due to:- Maintenance;
- Technical problems;
- Server or platform issues;
- Internet/network failures;
- Third-party service interruptions;
- Security incidents;
- Force majeure events;
- Other circumstances beyond our reasonable control.We do not guarantee uninterrupted or error-free access at all times.---30. PROHIBITED USEUsers may not use Growup Capital's websites, application, content, or services to:- Violate applicable law;
- Commit fraud;
- Misrepresent their identity;
- Attempt unauthorized access;
- Circumvent security mechanisms;
- Distribute malicious software;
- Copy or steal proprietary content;
- Resell unauthorized services;
- Interfere with the operation of our platforms;
- Exploit the services for unlawful purposes.---31. ACCURACY OF INFORMATIONGrowup Capital makes reasonable efforts to provide accurate educational and service information.However, educational material may contain examples, illustrations, opinions, market observations, or information that may change over time.Users should independently verify information where appropriate before making decisions based on it.---32. LIMITATION OF LIABILITYTo the extent permitted by applicable law, Growup Capital shall not be liable for losses arising solely from:- Trading or investment decisions made independently by users;
- Market movements;
- Losses incurred while trading;
- Failure to achieve expected trading results;
- Failure to pass a third-party funding evaluation;
- Third-party funding account decisions;
- Third-party payment-provider issues;
- Third-party platform interruptions;
- Internet or technical failures beyond our reasonable control;
- Unauthorized actions of users;
- Circumstances beyond our reasonable control.Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.---33. FORCE MAJEUREGrowup Capital shall not be responsible for failure or delay in providing services where such failure or delay results from circumstances beyond reasonable control, including but not limited to:- Natural disasters;
- Government actions;
- Internet outages;
- Cyber incidents;
- Technical failures;
- Platform outages;
- Power failures;
- Pandemics or similar events;
- Strikes or disruptions;
- Third-party service failures.---34. CHANGES TO SERVICESGrowup Capital may modify, update, improve, replace, suspend, or discontinue any part of its services from time to time.This may include:- Courses;
- Course modules;
- Teachers/mentors;
- Class schedules;
- Application features;
- Educational material;
- Mentorship format;
- Trading-floor facilities;
- Payment options;
- Additional services.Where reasonably possible, material changes affecting an existing service will be communicated through appropriate channels.---35. CHANGES TO THESE TERMSGrowup Capital may update these Terms from time to time.The updated version will be published on our applicable website, landing page, application, or other appropriate platform.The updated Terms will become effective from the date specified in the updated version.Continued use of our services after an update may constitute acceptance of the revised Terms, subject to applicable law.---36. PRIVACYYour use of Growup Capital services is also governed by our Privacy Policy, which explains how we collect, use, process, and protect personal information.The Privacy Policy should be read together with these Terms.---

GOVERNING LAW AND JURISDICTIONThese Terms shall be governed by and interpreted in accordance with the applicable laws of India.Subject to applicable law, disputes arising in connection with these Terms or the services provided by Growup Capital shall be subject to the jurisdiction of the competent courts having jurisdiction over the applicable location of Growup Capital.---39. SEVERABILITYIf any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it enforceable, where legally permissible.The remaining provisions shall continue to remain in effect.---40. ENTIRE AGREEMENTThese Terms, together with the Privacy Policy and any specific terms communicated for a particular course or service, constitute the applicable agreement governing your use of Growup Capital's services, subject to applicable law.Where a specific written agreement or program-specific terms conflict with these Terms, the specific agreement or terms may apply to the extent of such conflict.---
